1. Agreement to Terms

By clicking “I Accept,” creating an account, or otherwise accessing any part of the Bridge Media AI website located at www.bridgemedia.ai (the “Website”) or any related mobile/desktop applications, application‑programming interfaces (“APIs”), hosted services, software, or content provided by Bridge Media AI Inc. (“Bridge Media AI,” “Company,” “we,” or “us”) (collectively, the “Services”), Bridge Media AI provides an AI‑powered creative‑production suite that enables brands, agencies, and creators to generate, edit, collaborate on, and distribute dynamic advertising, sales, and marketing videos and related visual assets in real time across digital channels. You acknowledge that you have read, understood, and agree to be bound by these Terms of Service together with our integrated Privacy Notice (collectively, the “Terms” or “Agreement”). If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity, and “you” also refers to that entity. If you do not agree, do not access or use the Services.

2. Eligibility & Registration

  • Minimum Age: You must be at least 13 years old (or the minimum age in your jurisdiction permitting consent to online services) to use the Services. If you are under 18, you may use the Services only with the consent of a parent or legal guardian. You warrant that you are not barred from using the Services under any applicable law.
  • Account Creation: To access certain features you must create an account (“Account”). You agree to provide accurate, current information and keep it updated. You are responsible for all activity under your Account and for safeguarding your password and API keys. Notify us immediately at support@bridgemedia.ai of any unauthorized use.
  • Corporate Domains: If you register with a work email address, your Account may later be added to your employer’s organization account.

    3. Plans, Credits & Fees

    Bridge Media AI offers four subscription tiers (each, a “Plan”): Free, Basic, Pro, and Enterprise (custom). Each Plan includes a monthly allotment of generation or processing credits (“Included Credits”).

    • Credit Top-Ups: After consuming Included Credits you may purchase additional pay-as-you-go credits (“Top-Up Credits”). Top-Up Credits expire 12 months after purchase.
    • Payment Processor (Stripe): We use Stripe, Inc. and its affiliates ("Stripe") to accept payment cards, settle transactions, and perform related services. By purchasing any Plan or Credits, you agree to be bound by Stripe’s Privacy Policy and Terms of Service and authorize Bridge Media AI and Stripe to share necessary information to complete your transactions.
    • Billing & Renewal: Paid Plans and Top-Up Credits are billed via Stripe to the payment method you designate. Plans auto-renew unless canceled before renewal. Prices are posted on the Website and may change with notice.
    • Taxes & Refunds: Fees exclude applicable taxes. Payments are generally non-refundable.

      4. License to Use the Services

      Subject to these Terms and any usage limits shown in your dashboard, Bridge Media AI grants you a personal, nonexclusive, nontransferable, revocable license to (a) access and use the Services, and (b) integrate the APIs into your own products solely to enable end users to utilize Bridge Media AI functionality. All rights not expressly granted are reserved by Company.

      USER CONTENT & RIGHTS

      5. Inputs, Outputs & Ownership

      • Definitions. “Input” means any text, image, audio, video, prompt, data, or other material you or your end-users submit to the Services. “Output” means any content generated by the Services in response to an Input.
      • Ownership. As between you and Company, You own your Inputs and Outputs. By submitting an Input you grant Bridge Media AI a worldwide, royalty‑free, irrevocable license to use the Input and corresponding Output for (i) providing the Services; (ii) safeguarding and moderating the Services; and (iii) improving our models, algorithms, and datasets (including by training, fine‑tuning, and evaluating them).
      • Generated Similarity Because AI models may generate similar or identical Outputs from similar Inputs, you acknowledge that Outputs are not guaranteed to be unique and that other users may receive the same or similar content.
      • Your Responsibility. You represent that you have all rights necessary to provide each Input, that no Input infringes any third‑party right, and that you will not submit Prohibited Content (Section 6).

        6. Prohibited Conduct & Content

        You may not, nor permit anyone else to:

        1. Violate any law or third‑party right.
        2. Disassemble, decompile, reverse engineer, or attempt to discover the underlying models, except to the extent such restriction is prohibited by law.
        3. Use the Services or Outputs to create, train, or improve a competing AI or video‑generation service
        4. Transmit material that is unlawful, harassing, defamatory, obscene, hateful, or that exploits or harms minors.
        5. Upload malicious code, bypass security features, or otherwise interfere with the Services.
        6. Misrepresent affiliation with Bridge Media AI or remove proprietary notices.
        7. Spam, scrape, or harvest data from the Services without prior written consent.

        PRIVACY & DATA PROTECTION

        7. Personal Data We Collect

        Information we collect depends on how you interact with us and may include:

        • Account & Contact Data: Name, username, password, profile photo, company, postal address, e‑mail address, phone number, and job title.
        • Transactional Data: Billing address, Plan details, payment method (tokenized), purchase history, and Credit usage.
        • Inputs & Outputs: Content you submit (Inputs) and content the Services produce (Outputs), which may include personal data if you choose to provide it.
        • Device & Usage Data: IP address, browser type, operating system, device identifiers, referring URLs, pages viewed, session duration, and actions taken.
        • Marketing Data: Preferences for receiving marketing communications, engagement metrics (e.g., opens/clicks), and survey responses.
        • Cookies & Similar Tech: See Section 10.

          We may collect data directly from you, automatically through the Services, and from third parties such as analytics providers, integration partners, and public databases.

          8. How We Use Personal Data

          We use personal data to:

          1. Provide and operate the Services – including creating accounts, processing payments, generating Outputs, and delivering customer support.
          2. Maintain safety, integrity & compliance – including security monitoring, fraud prevention, abuse detection, and enforcing these Terms.
          3. Research & development – to develop and improve the Services, train and refine AI models, and conduct analytics (we create aggregated or de‑identified data where feasible).
          4. Marketing & advertising – to send promotional e‑mails, product updates, event invitations, and display interest‑based ads (see Section 9 for choices).
          5. Legal & contractual – to comply with law, respond to lawful requests, resolve disputes, and protect rights, property, or safety.

          9. Marketing Communications & Choices

          • Direct Marketing. We may send you e‑mails or push notifications about new features, special offers, or events. You may opt‑out at any time by clicking the “unsubscribe” link in a marketing e‑mail or adjusting your notification settings.
          • Interest‑Based Ads. We and our advertising partners use cookies to collect data about your activity across sites to provide targeted ads. See Section 10 for opt‑out options.

            10. Cookies & Tracking Technologies

            We, our service providers, and advertising partners automatically log information using:

            • Cookies – small text files stored on your device.
            • Local Storage – HTML5 or browser‑based storage for larger data.
            • Web Beacons / Pixels – clear GIFs embedded in pages/emails to track engagement.
            • SDKs & Device IDs – mobile identifiers for analytics and push notifications.

              Managing Cookies. Most browsers let you remove or reject cookies. Blocking cookies may impact functionality. You can also opt‑out of Google Analytics by installing the browser add‑on at https://tools.google.com/dlpage/gaoptout .

              11. Sharing & Disclosure

              We may share personal data with:

              • Affiliates – parent, subsidiaries, and corporate group for purposes consistent with this Notice.
              • Service Providers – hosting, payment processing, analytics, customer support, e‑mail delivery, and security vendors bound by confidentiality
              • Advertising Partners – third‑party ad networks that may collect info via cookies for interest‑based advertising
              • Professional Advisors – lawyers, auditors, bankers, and insurers.
              • Authorities & Others – law enforcement or regulators where required or to protect rights/safety.
              • Business Transferees – acquirers or potential acquirers in connection with a merger, sale, or similar transaction

                We do not sell personal data.

                12. Data Security, Retention & Deletion

                • Security. We employ administrative, technical, and physical safeguards—such as encryption in transit and at rest, least‑privilege access controls, and regular penetration testing—to protect personal data. No security method is 100 % secure.
                • Retention. We retain personal data as long as necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce agreements. Inputs and Outputs linked to free accounts may be deleted after 18 months of inactivity.
                • Deletion. You may delete specific Inputs and Outputs through your dashboard, or delete your entire Account by e‑mailing support@bridgemedia.ai. Some residual data (e.g., audit logs) may be retained as required by law.

                  13. International Transfers & GDPR Rights

                  • Global Operations. We are headquartered in the United States and may transfer data to the U.S. and other countries with different data‑protection laws. We rely on standard contractual clauses or other lawful transfer mechanisms.
                  • EEA/UK/Swiss Users. If you are in the European Economic Area, the United Kingdom, or Switzerland, you have rights to access, correct, delete, restrict, or port your personal data and to object to processing. To exercise rights, e‑mail support@bridgemedia.ai.
                  • Data Protection Officer (DPO). We have appointed a DPO reachable at support@bridgemedia.ai.

                    ADDITIONAL LEGAL TERMS

                    14. Confidentiality

                    Any non‑public information disclosed by one party (“Discloser”) to the other (“Recipient”) that is marked or reasonably understood as confidential is “Confidential Information.” Recipient will use Discloser’s Confidential Information only to perform under this Agreement and will protect it with reasonable care.

                    15. Intellectual Property Notice

                    The Services, including all software, models, text, graphics, and trademarks (other than your Inputs and Outputs), are the property of Bridge Media AI or its licensors and are protected by intellectual‑property laws. Nothing in these Terms transfers any ownership in the Services to you.

                    16. Third-Party Services & Open Source

                    Certain features may incorporate third‑party libraries or link to third‑party sites. Bridge Media AI is not responsible for such sites or services; your use is governed by their separate terms.

                    17. Indemnification

                    You will defend, indemnify, and hold harmless Bridge Media AI and its directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of (a) your Inputs, Outputs, or other content; (b) your use of the Services; or (c) your breach of these Terms.

                    18. Disclaimer of Warranties

                    THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIDGE MEDIA AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.

                    19. Limitation of Liability

                    TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BRIDGE MEDIA AI’S TOTAL LIABILITY EXCEED THE GREATER OF (i) US $100 OR (ii) THE AMOUNTS PAID BY YOU TO BRIDGE MEDIA AI DURING THE 12 MONTHS PRECEDING THE CLAIM. BRIDGE MEDIA AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

                    20. DMCA & Copyright

                    Bridge Media AI respects intellectual‑property rights. If you believe that any material in the Services infringes your copyright, please send a notice to DMCA Agent, Bridge Media AI Inc., 134 Corporate Blvd., Suite 100, Wilmington, DE 19801, USA; support@bridgemedia.ai with the information required by 17 U.S.C. § 512(c)(3).

                    21. Term & Termination

                    We may suspend or terminate your access to the Services immediately if you violate these Terms or if payment is past due. Upon termination, Sections 5–26 survive. You may terminate at any time by deleting your Account.

                    22. Dispute Resolution (Arbitration)

                    • Informal Resolution. Before filing a claim, parties must try to resolve any dispute informally within 30 days after written notice.
                    • Binding Arbitration. Unresolved disputes will be settled by JAMS arbitration in Wilmington, Delaware under its Streamlined (or Comprehensive) Rules. Either party may seek injunctive relief in court for IP infringement. Class‑actions are waived.
                    • Governing Law & Venue. Delaware law governs, without regard to conflicts. Subject to arbitration, the courts of New Castle County, Delaware have exclusive jurisdiction.

                      23. Modifications

                      We may modify these Terms at any time. We will post updates and revise the “Last Updated” date. Continued use of the Services after changes means acceptance. If you do not agree, stop using the Services.

                      24. Export Compliance

                      You may not use or export the Services in violation of U.S. export laws or regulations.

                      25. General Provisions

                      • Entire Agreement. These Terms constitute the entire agreement between you and Bridge Media AI regarding the Services and supersede all prior agreements.
                      • Assignment. You may not assign these Terms without our prior written consent; we may assign freely.
                      • Severability. If any provision is held invalid, the remaining provisions remain in effect.
                      • Waiver. Failure to enforce any provision is not a waiver.
                      • Force Majeure. We are not liable for delays caused by events beyond our reasonable control.
                      • Notice. Formal notices must be in writing and sent to Bridge Media AI Inc., 134 Corporate Blvd., Suite 100, Wilmington, DE 19801, USA, with a copy to support@bridgemedia.ai.
